Governance Explanations

Form 990, Part VI, Section B, line 11

Form 990 is prepared by an independent CPA firm and reviewed in detail by Upward top management. The return is then forwarded to the audit committee for review and approval. The reviewed Form 990 is also forwarded to the Board of Directors prior to filing.

Form 990, Part VI, Section B, line 12C

Upward's conflict of interest policy is reviewed and approved annually. All Board members, officers, and VPs are required to agree to and sign the policy annually. The Board of Directors review the annually signed statements. The policy is detailed in the team member guidebook, which every employee is required to read and indicate by signature that he/she understand the policy. If a conflict were to arise, the individual would abstain from voting.

Form 990, Part VI, Section B, line 15

Upward's non-salaried Board of Directors works with an independent third party to ensure reasonable compensation of Upward employees. This Firm also conducts a bi-annual compensation analysis, comparing Upward officers' compensation to similar organizations, and recommends to the Board annual compensation for all officers. This process is documented in executive session Board minutes. During the Board's compensation discussion and vote, no employee, including the President or family member of any employee, is present. The compensation vote is documented in the Board minutes upon approval.

Form 990, Part VI, Section C, line 19

The organization's audited financial statements are made available to the public on Upward's website at www.upward.org. The governing documents and conflict of interest policy are made available upon request.

Form 990, Part VII and Schedule J, Part II:

Compensation reported in Part VII, column D and Schedule J, Part II, column B is the amount reported on the individual's W-2, box 1 or 5 (whichever amount is greater) per the IRS instructions. In the case of minister's compensation when box 5 of the W-2 is not applicable, box 1 compensation is used. Employee deferrals to qualified retirement plans are normally captured in box 5, not box 1 of Form W-2. For reporting purposes we have included the employee's retirement plan deferrals in Part VII, column F and Schedule J, Part II, column C.

Form 990, Part VIII, Line 10C:

Program sales revenue is reported net of cost of goods sold to inform the Form 990 reader of the expenses directly related to the activity. Consequently, revenue on Part VIII and program expenses on Part IX is understated to reflect this reporting. If cost of goods sold were removed from Part VIII, Line 10b, gross revenue would increase by $9,129,187 and reported separately on Part IX, Line 25- program expenses would increase by $9,129,187. Additionally, the percentage of program service expenses to total expenses reported on Part IX, Line 25 would be 83.70%.

Additional Explanations

Form 990, Part III, line 2

During the tax year, Upward Sports created an Upward Star Center Division. The Upward Star Center sports complex, located in Spartanburg, South Carolina, serves as a living laboratory to test and model new sports and concepts. The primary function of this division is to provide a world-class sports complex using the Gospel of Christ behind every sports program. The Star Center is designed to develop Christian leaders, coaches, referees and partners to deliver the ultimate sports experience, while also being a training ground to help young athletes get better.

Form 990, Part XII, Line 2C:

Though not required by law to have a financial audit, the Upward Board chooses to conduct an annual audit. Further, the organization has an audit committee that assumes responsibility for oversight of the audit of its financial statements and selection of its independent accountant. This process has not changed since the prior year.

Financial Statement Notes

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the consolidated financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the consolidated statements of activities. As of May 31, 2015 and 2014, Upward had no uncertain tax positions that qualify for recognition or disclosure in the consolidated financial statements. Upward files information tax returns in the U.S. and various states. Upward is generally no longer subject to U.S. federal and state income tax examinations by tax authorities for years before 2012.

We bring churches, Christian leaders, and the communities they serve together through the universal language of sports, strengthening young athletes by helping them grow in mind body and soul. As a non-denominational Christian sports ministry provider, Upward Sports offers programs for young athletes from Kindergarten through High School. Upward Sports provides valuable resources that aid in planning, training, and executing first-class, organized, and detailed sports offerings. Form 990, Part III, Line 4a description continued on Schedule O.Upward Sports accomplishes its mission primarily through the 360 Progression which is a uniquely designed total sports experience that adapts and expands as players develop and grow in their personal journey. The 360 ProgressionTM offers comprehensive training and instruction that increases in intensity with each athlete as they improve, enriching their physical, emotional, social and spiritual development. The experience is carried out within three divisions: Upward Sports Recreation Division: Recreational programs consist of clinics, camps, and leagues. Sports programs offered in the recreational division include basketball, soccer, cheerleading, and flag football. The primary function of this offering is the initial discovery of sport (and Christ) and developing a love for the game. The Recreation Division develops and provides to churches a comprehensive sports ministry program that is ready to be implemented as one of the church's ministry services.Upward Sports recreational athletes discover a love for the game and, with a healthy competitive spirit, develop the skills they need to succeed in everything they do. Revenue for this division is generated from the sale of participant kits, which include uniforms, devotional materials, and additional merchandise to make each season unique. Approximately 500,000 players participate in Upward recreation clinics, camps, and leagues annually in 45 U.S. states hosted by over 2,000 church partners. Upward Sports Performance Division: The Performance Division operates under the brand of Upward Stars. The primary function of this offering is to give athletes, who have found their love of the game, a place to be challenged so that they can strive for more. Performance programing is run by local leaders and coaches and focuses on athletes in middle school and high school. Upward Stars is designed to provide a unique total sports experiences for players (and parents) wanting to continue their athletic journey while not compromising character and integrity. Programming designed to intentionally develop all participants mentally, athletically, spiritually and socially is provided in basketball and volleyball.Upward Sports performance athletes take their love for the game to the next level as they continue to develop mentally, athletically, spiritually and socially through Upward Stars programming. Revenue for this division is generated from the sale of participant kits. Approximately 5,000 players participated in Upward performance academies, travel teams, and camps annually in 30 U.S. markets run by certified leaders.Upward Star Center Division: The Upward Star Center sports complex, located in Spartanburg, South Carolina, serves as a living laboratory to test and model new sports and concepts. The primary function of this division is to provide a world-class sports complex using the Gospel of Christ behind every sports program.
