In accordance with the Conflict of Interest policy, following full disclosure of a possible conflict of interest or any other conditions outlined in the Conflict of Interest policy, the Board of Directors shall determine whether a conflict of interest exists and, if so, the Board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect SRIs best interests. Both votes shall be by a majority vote without counting the vote of any interested Director.”

“Line 15a&b: Comparable salary data for all personnel, including the Executive Director, is reviewed from sources such as the State Employment Security Commission and Kenexa CompAnalyst Market Data by appointed representative(s) of the Board of Directors. The Executive Committee of the Board of Directors completes the performance review for the Executive Director and presents a recommendation for any Executive Director salary increases or adjustments to the full Board for approval. The Board of Directors approves all salary adjustments for the Executive Director. The Board of Directors approves a percentage increase range, to be used in conjunction with annual performance evaluations for remaining personnel, to award other salary increases. The Board of Directors has given authority to the Executive Director to determine the procedure for implementing salary increases for all personnel, excluding the Executive Director, as needed, to maintain standards of pay that are comparable according to salary data provided in surveys such as those listed above. The Board has given authority to the Executive Director to approve salary increases or adjustments for all other personnel, including the Finance and Administrative Operations Director.”
