Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The form 990 is provided to each board member for review before filing. Any questions and/or comments are discussed between the board members and any questions are sent to the president of the organization for resolution. Once all question/issues are satisfactory resolved, and the board members give their consent, the form 990 is filed.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organization regularly and consistently monitors and enforces compliance with the policy by requiring all directors and officers to sign a conflict of interest and disclosure form on a regular basis, and to affirmatively disclose potential conflicts as they arise. During fy 2017 2018 the organization further updated and strengthed its anti-fraud policies.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

In may 2015, the independent members of the board of directors of conflict dynamics international approved a proposal for executive compensation for the president of the organization. The board reviews and approves executive compensation every 1 to 2 years. There was no review of executive compensation during fy 2016-2017. The next review is scheduled to take place in june 2018. The methodology included a comparison based on data pertaining to compensation for comparable positions at similarly situated organizations, and an internal comparison using compensation of other members of the organization. This process included but was not limited to review of: (i) third-party/independent survey of non-profit salaries for massachusetts compiled by economic research institute; (ii) annual filings of comparable not-for-profit organizations of similar size, mission and geographical location using comparability date. (iii) united states government senior executive salary scales, 2014; (iv) united nations professional and management salary scales, 2014.the decision of the independent members of the board of directors is captured through their signature of the executive compensation proposal, and (if the review coincides with a board meeting) is reflected in the minutes of the meeting of the board of directors.

The last review and proposal for executive compensation for the president of the organization took place in may 2015. Other program services 4: strengthening humanitarian capacity (program class p04): conducted activities to strengthen the capacity of national and international humanitarian organizations and conflict-affected communities to improve humanitarian assistance and protection. This included improving the capacity to engage in humanitarian negotiations for the purpose of achieving better humanitarian outcomes.this work consisted of consultations and outreach activities. During the fiscal period conflict dynamics worked closely with humanitarian partners on this initiative with a view to enhancing the protection of civilians, especially in times of conflict. Estimated beneficiaries: large number of civilians in select conflict-affected countries who can benefit from improved humanitarian assistance and protection.relationship to organizations exempt purpose: this work contributed directly and substantively to conflict dynamics mission to alleviate human suffering arising from conflicts and other crises around the world.

THIS WORK AIMS TO BENEFIT, OVER TIME, A PORTION OF THE ESTIMATED 515 MILLION PEOPLE LIVING IN FRAGILE AND CONFLICT AFFECTED SITUATIONS. CONFLICT DYNAMICS WORK ON CHILDREN AFFECTED BY ARMED CONFLICT INVOLVED ACTIVITIES TO STRENGTHEN ACCOUNTABILITY FOR SERIOUS VIOLATIONS AGAINST CHILDREN IN SITUATIONS OF ARMED CONFLICT.
