Governance Explanations

Form 990, Part VI, Section A, Line 7A

Powers to elect or appoint members of the governing body the members of the board of directors of the center for documentary studies shall be approved by the board of trustees of duke university. Board members may be removed without cause prior to the expiration of their terms by two-thirds vote of then-sitting board of directors (exclusive of the vote of the director in question) or by a majority vote of the board of trustees of duke university.

Form 990, Part VI, Section A, Line 7B

Decisions of the governing body the board of directors shall have the power to make, alter, amend and repeal the bylaws of the corporation and alter, amend, and repeal the charter of the corporation by affirmative vote of two-thirds of the directors then in office; provided, however, that no amendment may be made which would cause the organization no longer to be described as a qualifying charitable organization, and further provided that any amendment which repeals the organization's charter or which alters or removes duke university's right to approve of the election or removal of the members of the board of directors, shall be approved by the board of trustees of duke university.

The public is able to view the governing documents at 1317 pettigrew street, durham, nc 27705, or if the requesting individual is unable to travel to the organization's office, the requested information will be sent to them via u.s. Mail.

FORM 990, PART VIII, LINE 7:

Duke university, and therefore the center for documentary studies, manages its investment funds in accordance with the uniform prudent management of institutional funds act of north carolina. As permitted by the act, the university, and therefore the center for documentary studies, utilizes an investment pool referred to as the long term pool (ltp) to invest its funds. The ltp is managed by a related organization and operates on a total return concept, therefore, it is not practical to separate earnings among part viii, lines 3 and 7. All investment earnings have been combined and reported on line 7d.

Financial Statement Notes

Part X - Liability Under Fin 48 (asc 740) Footnote

The center for documentary studies is a tax-exempt organization as described in section 501(c)(3) of the internal revenue code of 1986, as amended (the code). As such, the center for documentary studies is exempt from federal income taxes to the extent provided under section 501 of the code. Accordingly, no provision for income taxes is made in the financial statements. The organization's form 990, return of organization exempt from income tax, for the years ending 2019, 2020, and 2021 are subject to examination by the irs, generally for three years after they were filed. As of june 30, 2022 there were no uncertain tax positions.

The center's endowment consists of 4 individual funds established by donors to provide annual funding for specific activites and general operations. The endowment also includes 2 funds that have been desginated for endowment by the board of directors.
