Governance Explanations

Form 990, Part VI, Section A, Line 4

The center for documentary studies and its board of directors have revised and approved the amendment of the center for documentary studies bylaws. Significant changes are summarized as follows: the amended and restated the center for documentary studies bylaws state: board members may be elected to two consecutive three-year terms. (an appointment to fill an unexpired term shall not count toward this limitation.) at the conclusion of the second term, members must spend at least one year off the board before being reconsidered for membership. The number of voting members of the board of directors of the corporation shall be at least nine and no more than twenty-five. The board of directors shall be divided into two classes as follows: (a) twelve class a directors and (b) thirteen class b directors. The size of the board may be increased or decreased from time to time by a vote of two-thirds of the then-sitting board of directors, provided that at no time shall the board be less than nine or more than twenty-five in number.

Form 990, Part VI, Section A, Line 7A

Powers to elect or appoint members of the governing body the members of the board of directors of the center for documentary studies shall be approved by the board of trustees of duke university. Board members may be removed without cause prior to the expiration of their terms by two-thirds vote of then-sitting board of directors (exclusive of the vote of the director in question) or by a majority vote of the board of trustees of duke university.

Form 990, Part VI, Section A, Line 7B

Decisions of the governing body the board of directors shall have the power to make, alter, amend and repeal the bylaws of the corporation and alter, amend, and repeal the charter of the corporation by affirmative vote of two-thirds of the directors then in office; provided, however, that no amendment may be made which would cause the organization no longer to be described as a qualifying charitable organization, and further provided that any amendment which repeals the organization's charter or which alters or removes duke university's right to approve of the election or removal of the members of the board of directors, shall be approved by the board of trustees of duke university.

Mail.

Form 990, Part VIII, Line 7C - Gain/loss From Sales of Noninventory Assets

Investment funds duke university (and therefore the center for documentary studies) manages its investment funds in accordance with the uniform prudent management of institutional funds act of north carolina. As permitted by the act, the university (and therefore the center for documentary studies) utilizes two investment pools to invest its funds and these funds operate on a total return concept. It is, therefore, not practical to separate earnings as set forth on lines 3, 4 and 7; earnings are combined and reported on line 7d.

Part x - liability under fin 48 (asc 740) footnote the center for documentary studies is a tax-exempt organization as described in section 501(c)(3) of the internal revenue code of 1986, as amended (the code). As such, the center for documentary studies is exempt from federal income taxes to the extent provided under section 501 of the code. Accordingly, no provision for income taxes is made in the financial statements. The organization's form 990, return of organization exempt from income tax, for the years ending 2013, 2014, and 2015 are subject to examination by the irs, generally for three years after they were filed. As of june 30, 2016 there were no uncertain tax positions.
