“All members of the organization's board of directors must be approved by the duke university board of trustees. Board members may be removed without cause prior to the expiration of their term by a two-thirds vote of the sitting board of directors, or by a majority vote of the duke university board of trustees.”

“The board of directors shall have the power to make, alter, amend and repeal the bylaws of the organization and alter, amend, and repeal the charter of the corporation by affirmative vote of two-thirds of the sitting directors, provided however, that no amendment may be made which would cause the organization to no longer be described as a qualifying charitable organization, and further provided that any amendment which repeals the organization's charter or which alters or removes duke university's right to approve of the election or removal of the members of the board of directors, shall be approved by the duke university board of trustees.”

“The officers and board of directors are required to disclose any conflicts annually. They are required to complete and sign a conflict of interest questionnaire and return it to the corporate tax office at duke university.”

“In addition to providing the organization's form 990 upon request, the organization's form 990 is available to the public on several third party websites. While the organization does not provide the form 990 directly to these third parties, the form 990 is obtained from the internal revenue service. The third parties subsequently and independently provide access to the form 990 on their platform.”

“The organization's governing documents, conflict of interest policy, and financial statements are availible to the public upon request. The public is able to view the governing documents at 1317 w. Pettigrew street, durham, nc 27705, or if the requesting individual is unable to travel to the organization's office, the requested information will be sent to them via u.s. Mail.”

“Duke university, and therefore the center for documentary studies, manages its investment funds in accordance with the uniform prudent management of institutional funds act of north carolina. As permitted by the act, the university, and therefore the center for documentary studies, utilizes an investment pool referred to as the long term pool (ltp) to invest its funds. The ltp is managed by a related organization and operates on a total return concept, therefore, it is not practical to separate earnings among part viii, lines 3 and 7. All investment earnings have been combined and reported on line 7d.”
