“Ex-officio board members are members by virtue of their office and will retain their place on the board so long as they retain their office. At-large members are elected from the community at-large from citizens who either demonstrate interest in the objectives and work of the corporation or who represent identifiable segments of the community. Each at-large member is elected by a majority vote of the board. Emeritus board members are long term board members with many years of service and are elected by a majority vote of the board. Recommendations for a slate of officers and any board vacancies are submitted to the board from a nominating committee in december.”
