Governance Explanations

The form 990 will be reviewed by the executive director and the finance chair prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Council and staff members have the responsibility to report to the appropriate level of administration within the council any material breach or failure of the council's internal controls, investment function, auditing function, accounting systems, or governance policies of which they have actual knowledge or a reasonable and good faith belief. If a council or staff member becomes aware, or has a good faith belief, that such a breach or failure has occurred, or may be about to occur, the council or staff member should report his or her concern immediately to the appropriate committee chair, in the case of a council member, or to the executive director, if a staff member. Examples of such material breaches or failures may include, but are not limited to, the following: supplying false or misleading information in the council's financial reports, including the tax return misuse of council funds providing false information to or withholding material information from the council's auditors violations of the conflict of interest policy self-dealing, embezzlement, or fraud if the council or staff member believes that normal channels of communication through a committee chair or the executive director are inadequate or inappropriate, the complaint should be reported with appropriate promptness to the chair. Reports should normally be submitted in writing, but will be accepted if made orally. Reports should contain enough information to substantiate the concern and allow an appropriate investigation to begin. All reports will be received and acted upon in confidence to the maximum extent permitted by legal requirements and the need to gather facts, conduct an effective investigation, and take necessary corrective action. Following investigation, the council will take any appropriate remedial and disciplinary action deemed justified by the circumstances.
