Craven 100 Alliance

“The members of the organization are craven county, the city of new bern, the city of havelock and the craven county committee of 100. The commissioners or aldermen of the member organization appoint directors to the board and serve at the pleasure of their respective commissioners or alderman. The members and their appointments make up 48% of the voting membership of the board. The remaining 52% of the board is made up of individuals from the private sector.”

“The board of directors is made up of twenty-one voting directors. The board of commissioners for craven county, member, appoint four directors that serve at the pleasure of the craven county board of commissioners. The board of alderman of the city of new bern, member, appoint three directors that serve at the pleasure of the city of new bern board of alderman. The board of commissioners for the city of havelock, member, appoint three directors that serve at the pleasure of the board of commissioners for the city of havelock. The remaining 11 directors are elected from the private sector.”

“The finance committee is appointed by the board of directors and is charged with reviewing all budgets, financial statements and making financial recommendations to the board. The executive committee reviews the draft form 990, which is prepared by an independent certified public accountant. Upon completion of the final form 990 the committee makes a recommendation to the board weather to approve the tax return. During the review process, all members of the committee are given a copy of the draft tax return and upon completion the final form 990 is distributed to all members of the board of directors. The form 990 is reviewed by the board, questions are entertained and answered and the approval process is completed by a formal motion accompanied with a second and then voted on by the board. The form 990 is signed and filed by the president.”

“Each director shall execute an acknowledgment and receipt of the corporation's conflict of interest policy prior to assuming the position of director. No director who directly or indirectly is involved in a potential conflict of interest shall be counted in determining the existence of quorum at any meeting of the board where the potential conflict is considered, nor shall the director vote on any action of the board regarding that potential conflict.”

“The governing documents of the craven 100 alliance (articles of incorporation, bylaws, 501(c)(3) exemption letter) and conflict of interest policy are maintained at the administrative office of the organization and are available to the public upon request for inspection and/or to be copied. The most recent audited financial statements of the organization are also maintained at the administrative office and are available for inspection and/or to be copied.”
