“The executive committee shall serve primarily in a consultative role for the president and chief executive officer to address issues and matters which arise between regularly scheduled board meetings. The ceo shall be reviewed and evaluated annually on his/her performance and the corporation's performance by the executive committee. The executive committee shall not be empowered under any circumstances to: a. Authorize distributions; b. Recommend to members or approve dissolution, merger or the sale, pledge, or transfer of all or substantially all of the corporation's assets; c. Elect, appoint, or remove directors or fill vacancies on the board of directors or on any of its committees; d. Adopt, amend, or repeal the articles of incorporation or the bylaws; or e. Transact any other activity which the board of directors has prohibited or is illegal. As the board's first order of business all executive committee actions shall be reviewed and voted upon at the first regular or special board meeting immediately after action is taken by the executive committee.”

“The form 990 was prepared by the outside accountants and reviewed by the audit committee, finance committee, and board chair. The full board receives a copy of the 990 before it is filed with the irs.”

“On a semi-annual basis, each member of the board of directors and senior staff signs a conflict of interest statement, which are kept in the executive office of the president. The executive committee ensures that each member is in compliance with the policy. If any action of a director, officer, key employee or committee member presents a real or perceived conflict of interest, that individual discloses the conflict. If the board determines that the individual has a conflict of interest, the individual is removed from the decision making process.”

“Ipas engaged the services of an independent compensation consultant to review and suggest salary and salary ranges appropriate for the ceo, officers and key employees of the organization based on market data and survey findings. The process is conducted on a biennial basis and was last completed in 2023. The next review is set for fy26 and we plan to embark on that initiative later in the summer of 2025. The independent consultant utilizes birches data for comparable leadership roles within similarly sized organizations. This process was then documented in a formal report and reviewed then approved by all board members. The board of directors determines the compensation for the ceo, and it is documented in the board minutes. The minutes of the board are then emailed to the hr director to act upon the decisions made by the board. The recommendations from the independent consultant are reviewed with the ceo in determining compensation for key officers.”
