Mission and Program Overview

Mission

Ipas works around the world to increase women's ability to exercise their sexual and reproductive rights, especially the right to a safe abortion. Ipas expands women's access to comprehensive reproductive health care, including abortion. (continued on schedule o)the organization also strives to foster a legal, policy and social environment that supports women making their own sexual and reproductive health decisions freely and safely. On average, 46 million times a year women decide they cannot continue their pregnancies and seek abortions. An estimated 21 million of those abortions are unsafe, resulting in about 47,000 deaths every year - over half a million women have died in the last decade alone, and millions more have been injured.

Support women's access to safe abortion care and advocate for reproductive rights.

Governance Explanations

Form 990, Part VI, Section A, Line 4

In december 2015, the board of directors of ipas unanimously voted to approve a revised set of bylaws. Under the revised bylaws, the maximum number of board members ipas can have increased from 16 to 20. In addition, the bylaws specify that board officers are named as the chair, vice-chair, secretary and treasurer and there will not be separate corporate officers. In addition, the bylaws named and defined the broad duties and responsibilities of four standing committees: the governance and leadership committee, the finance committee, the audit committee and the executive committee.

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by the audit committee, finance committee and board chair. The full board received a copy of the 990 before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

On a semi-annual basis, each member of the board of directors signs a conflict of interest statement, which are kept in the executive office of the president. The executive committee assures that each member is in compliance with the policy. If any action of a director, officer, key employee or committee member presents a real or perceived conflict of interest, that individual discloses the conflict. If the board determines that the individual has a conflict of interest, the individual is removed from the decision making process.

Form 990, Part VI, Section B, Line 15

Ipas engaged the services of an independent compensation consultant to review and suggest salary and salary ranges appropriate for the officers and key employees of the organization based on market data and survey findings. This process was then documented in a formal report and approved by all board members in december 2014. The chief executive officer's most recent compensation review was performed in conjuction with the search and hiring of the new chief executive officer in june 2016.
