Governance Explanations

Form 990, Part VI, Section A, Line 1A

The affirmative vote of two-thirds of the trustees then serving, exclusive of ex-officio trustees, is required to: (a) amend or restate the college's articles of incorporation; (b) amend or restate the college's bylaws; (c) select or remove the college's president; (d) increase or decrease the number of trustees on the board; (e) dissolve the college's corporate existence, merge the college with any other entity or sell, pledge or transfer all or substantially all of the college's assets. Ex-officio trustees may vote on any other matters, though, same as the other trustees.

Form 990, Part VI, Section A, Line 2

Trustees david greenfield and carla greenfield have a family relationship. Trustees steven keener and latonya chavis keener have a family relationship.

Form 990, Part VI, Section B, Line 11B

Key personnel and trustees review the form 990 before it is signed, including the vp for administration and finance/cfo, the controller, the chair of the standing audit committee and the chair of the board. The full board is provided access to the public disclosure copy of the return on a password-protected website, with a notice that the full filing copy is available for review in the controller's office. This is done to protect donor information while still giving the board access to all information as filed with the irs.

Form 990, Part VI, Section B, Line 12C

The college has a written conflict of interest policy which specifies in detail those circumstances giving rise to a potential conflict of interest on the part of the college trustees. Pursuant to this policy, trustees must file an annual report specifying any relationships or activities which might possibly constitute a conflict. These reports are reviewed by the chair of the audit committee and the chair of the board of trustees. Any issues raised by a specific report are resolved according to the procedures outlined in the conflict of interest policy. A similar policy for employees of the college defines conflict of interest and related terms and outlines a procedure for disclosure, reporting, and compliance with the policy.

Form 990, Part VI, Section B, Line 15

The president's compensation package is approved by the executive committee of the board of trustees based on an assessment of market comparables for similar positions at schools of similar size and location. The president approves the compensation packages for other officers of the college in coordination with human resources. The board would approve total compensation increases as part of the annual budget process.

Form 990, Part VI, Section C, Line 19

The college's governing documents, conflict of interest policy, and audited financial statements are available at the discretion of management.
