Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The executive committee is composed of the officers and the immediate past president. The committee has the authority of the board of directors between meetings, but may not counteract established board policy. The committee is responsible to develop and recommend policy to the full board, and to recommend an annual budget and program to the board. The executive committee meets at the call of the president and must meet upon the written request to the president by a majority of the members of the committee. At any duly called meeting, a quorum consists of a majority of the members of the committee. The committee fully and promptly reports to the board of directors any actions taken.
