Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed and approved by the finance committee prior to submission to the irs. In addition, the finance committee submits a copy of the 990 to the full board of directors and reviews it at the organization's next scheduled board meeting.

Form 990, Part VI, Section B, Line 12C

The organization provides copies of the conflict of interest policy to board members and members of management. Annually, each individual is required to review and sign the document, acknowledging their willingness to abide by the policy and disclosing any potential conflicts. Individuals must also alert the board of any conflicts that may arise.

Form 990, Part VI, Section B, Line 15

The compensation committee establishes and evaluates the performance and total compensation of the president & ceo. Annually, the compensation committee evaluates performance and compares compensation with that of other agencies of similar size and function to determine appropriate president/ceo compensation. Using the same process as above, the president & ceo in conjunction with the human resources department are responsible for determining the compensation for other officers and employees.

Form 990, Part VI, Section C, Line 19

Financial statements and governing documents are available upon request for the same period of disclosure as set forth in section 6104(d).
