Governance Explanations

The Form 990 is reviewed by the administrator by comparing information on the year-end financial statement with the information on the Form 990. The final Form 990 is reviewed by the board prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Board members are required to complete a conflict of interest policy disclosure statement upon appointment or re-appointment to the Board and annually thereafter. When a conflict of interest exists relevant to a matter under consideration or requiring action by the Board, the interested person shall not be present during Board discussions on the matter. However, that person may be permitted to provide the Board with any and all relevant information on the particular matter. The Board's minutes of the meeting shall reflect that the conflict of interest was disclosed, that the interested person was not present during the discussion or decision on the matter and did not vote. The remaining Board Members shall decide if a conflict of interest exists.
