Governance Explanations

Form 990, Page 6, Part VI, Line 6

Communications workers local 2001 is a nonstock, nonprofit organization affiliated with the communication workers of america, afl-cio (cwa). Eligibility for membership in the local union is set forth in the constitution of the cwa for those cwa members working within the jurisdiction assigned to local 2001, and includes the full-time and part- time employees of the organization. The organization has one class of regular voting members.

Form 990, Page 6, Part VI, Line 7A

All local nominations, elections and referenda are conducted by the organization's election committee. The organization's members elect the officers and executive board members to serve a three (3) year term. Officers and board members must be members in good standing of the organization to be eligible to hold office. Every member of the organization in good standing shall have the right to vote or otherwise support the candidate of his or her choice.

Form 990, Page 6, Part VI, Line 7B

The organization's president and it's executive board have the authority to conduct the affairs of the local union subject to the organization's by- laws, the international's constitution, and applicable laws and statutes. All actions and decisions of the president and the executive board may be overturned by the membership in a local membership meeting or by referendum. All amendments to the organization's by-laws must be approved by a majority vote of the members at a meeting of the local union that is called for that purpose.

Form 990, Page 6, Part VI, Line 11B

The organization's president and/or treasurer reviews the return with the independent accountant for completeness and accuracy when it is presented for signature. The officer(s) inform the executive board at its next meeting that the return has been filed; a public inspection copy has been made available in the organization's main office; and a copy has been posted to the organization's private secure web-portal for board members. The officer(s) will also typically discuss with the board any significant changes or observations that come from the return preparation.

Form 990, Page 6, Part VI, Line 15A

All officers' salaries and expenses are determined by the membership. Currently the by-laws provide that all elected officers (president, executive vice-president, treasurer, and recording secretary) shall receive wages based upon a formula in relation to compensation paid a communications representative. Officers also are reimbursed for any documented expenses in pursuit of official organization business. Executive board members receive a nominal monthly stipend.

Form 990, Page 6, Part VI, Line 15B

Compensation of all officers is determined by a formula in relation to the wages paid to a communication representative. The compensation paid the president and executive vice-president is higher than the compensation received by the treasurer and recording secretary; reflecting the differing requirements of each office.

Form 990, Page 6, Part VI, Line 19

The organization's governing documents and form 990 are available for inspection in the local union's main office during normal business hours. Advance notice is requested.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0COMMUNICATIONS WORKERS LOCAL 2001 IS A NONSTOCK, NONPROFIT ORGANIZATION AFFILIATED WITH THE COMMUNICATION WORKERS OF AMERICA, AFL-CIO (CWA).
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1ALL LOCAL NOMINATIONS, ELECTIONS AND REFERENDA ARE CONDUCTED BY THE ORGANIZATION'S ELECTION COMMITTEE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE ORGANIZATION'S PRESIDENT AND IT'S EXECUTIVE BOARD HAVE THE AUTHORITY TO CONDUCT THE AFFAIRS OF THE LOCAL UNION SUBJECT TO THE ORGANIZATION'S BY- LAWS, THE INTERNATIONAL'S CONSTITUTION, AND APPLICABLE LAWS AND STATUTES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE ORGANIZATION'S PRESIDENT AND/OR TREASURER REVIEWS THE RETURN WITH THE INDEPENDENT ACCOUNTANT FOR COMPLETENESS AND ACCURACY WHEN IT IS PRESENTED FOR SIGNATURE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4ALL OFFICERS' SALARIES AND EXPENSES ARE DETERMINED BY THE MEMBERSHIP.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5COMPENSATION OF ALL OFFICERS IS DETERMINED BY A FORMULA IN RELATION TO THE WAGES PAID TO A COMMUNICATION REPRESENTATIVE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6THE ORGANIZATION'S GOVERNING DOCUMENTS AND FORM 990 ARE AVAILABLE FOR INSPECTION IN THE LOCAL UNION'S MAIN OFFICE DURING NORMAL BUSINESS HOURS. ADVANCE NOTICE IS REQUESTED.
