“The Form 990 was reviewed by the Finance Committee of the Board of Directors before being filed. The Finance Committee reported any essential information pertaining to the Form 990 to the Board of Directors at a subsequent Board Meeting, as deemed appropriate.”

“The Organization has a formal Conflict of Interest Policy. Each Director, Officer, or Executive is required to disclose any potential conflict of interest before any vote is taken on any action related to the potential conflict. Also, any Director, Officer, or Executive must disclose any potential conflict of interest to the Chairman of the Board before being appointed to any Committee or other task that may be perceived as having potential conflict of interest. Any potential conflict of interest reported must be reflected in the minutes pertaining to that particular action. In addition, all Board Members, Officers, and Executives are required to complete and sign a questionnaire annually disclosing all business transactions with the organization along with other pertinent information about the Board Member and their relationship to the Organization.”

“The Personnel Committee oversees an annual review of the salary ranges for each Executive and management level position within the Organization. The data reviewed is industry specific to comparative management positions for retirement communities in the Mid-Atlantic region of the United States. This independent report is conducted annually by the American Association for Homes and Services for the Aging. Each management position is reviewed and compared with other similar positions throughout the region to determine an appropriate range of compensation for that position. Size of the organization and years of experience for each position are significant factors in determining both the range of compensation and the appropriate compensation for that individual. The Executive Committee of the Board of Directors sets the annual compensation amount for the Chief Executive Officer ( C.E.O. ) and the C.E.O. determines the annual compensation for the management level positions. The final salary ranges and other appropriate information regarding executive compensation is then reported back to the Board of Directors.”
