“EDPMA retains the services of a management firm, Association Management Group (AMG). Management fees represent amounts paid to AMG under the terms of the agreement to provide management, back-office services, office space, equipment and other resources. Management fees totaled $569,691 for the year ended December 31, 2016. The Association's Executive Director is an employee of and was compensated by AMG.”

“EDPMA's bylaws were amended in April of 2016. Changes were made to the composition of the Board of Directors, composition of the Executive Committee and provisions for amending bylaws. Each active member may have up to one elected representative on the Board. No more than two Board members may represent organizations that are legally connected to or substantially affiliated with each other. The Executive Committee cannot be more than 2/7th's of affiliated members. The bylaws may be amended, repealed or altered, in whole or in part (a) by a two-thirds (2/3) majority vote at any meeting of the Active membership of the association. Other procedural changes were made such as officer nomination, resignation, removal and vacancies, and management firm role and duties.”

“EDPMA has three classes of members, which are Emergency Department Physician Groups, Billing Organizations, and Supporting Organizations. Each active member shall be entitled to one vote in all EDPMA affairs that call for a vote of the membership.”

“EDPMA's active members elect the members of the Board of Directors.”

“Certain Board decisions require member approval.”

“A copy of the 990 is reviewed by the Executive Committee and provided to the Officers of the Board of Directors prior to filing.”

“The conflict of interest policy is distributed to the Board of Directors for self-disclosure. Individuals are required to report any conflicts to the Board, which will take appropriate action.”

“EDPMA's governing documents and conflict of interest policy are available to the public on its website, and the financial statements are available upon request.”

“EDPMA's Board of Directors is responsible for oversight of the review of the financial statements, including selection of the independent accountant.”
