Part VI, Line 11B, Process for Reviewing Form 990

The form 990 is reviewed by the controller, general counsel, chief financial and administrative officer and chief executive officer before providing it to the board of trustees. The form 990 is provided to the trustees prior to filing with the irs.

Part VI, Line 12C, Conflict of Interest Policy

Trustees, officers and key employees who fall into the definition of "disqualified persons" under the intermediate sanctions rules are required to disclose, annually, interests that could give rise to conflicts. In addition, the trustees have adopted a statement of principles on conflicts of interest that is distributed to all trustees. Each year, the trustees acknowledge receipt of the principles, their adherence to the principles and the consequences of failure to comply with the principles. The noblis code of ethics and conduct sets forth our policy with respect to conflicts of interest, and this is reinforced by our code of ethics and conduct training.

Part VI, Line 15A & 15B, Process for Determining Compensation

Compensation for the ceo, other officers and the key employees who fall into the definition of "disqualified persons" under the intermediate sanctions rules is reviewed and approved by the board of trustees using comparability data from an independent compensation consultant. This process was last undertaken during calendar year 2016. Compensation decisions with respect to these individuals are recommended by the compensation and human resources committee of the board of trustees. These recommendations are then considered and voted upon by the independent members of the executive committee of the board of trustees.

Part X, Line 2

Text to the organization's fin 48 (asc 740) footnote: noblis, inc. Is exempt from federal income tax under irc section 501(c)(3) and 170(b)(1)(a)(vi), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the code. Noblis' for-profit subsidiary entities are as follows: noblis esi llc, a wholly-owned llc disregarded for u.s. Income tax purposes. National security partners, inc. ("nsp, inc.") was a taxable c-corporation and 50 percent owner of noblis nsp llc, an entity taxable as a partnership. On november 27, 2017, nsp, inc. Merged into noblis and nsp, llc became a wholly-owned llc disregarded for u.s. Income tax purposes. Subsequently, noblis nsp, llc was merged into noblis, inc. On march 30, 2018. The organization has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The tax years for fiscal years 2015 through 2018 are still open to audit for both federal and state purposes. The organization has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements. Noblis, inc. Has a net operating loss that can be utilized to offset its taxable income. A valuation allowance is established when necessary to reduce deferred tax assets to amounts expected to be realized. Income tax expense represents the current tax provision for the period and the change during the period in deferred tax assets and liabilities and is included in general and adminsitrative expense in accompanying consolidated financial statements. Nsp, inc. Had a net operating loss that was used to offset all of the resulting gain on dissolution except for the alternative minimum tax. The organization follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. The guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is "more-likely-than-not" to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged.
