Gtc changed its bylaws to allow foreign corporations to become board level members, and therefore have voting rights.

Form 990, Part VI, Section A, Line 6

The organization has five classes of membership: 1) regular membership - any firm, partnership, or corporation, which supports the purposes of the organization, and which has a commercial interest in gasification technologies is eligible to become a regular member. 2) associate membership - any firm, partnership, or corporation which supports the purposes of the organization, and which has a commercial interest in gasification technologies is eligible to become an associate member. 3) supporter membership - any law firm, accounting firm or financial advisory firm that supports the purposes of the council and which has a commercial interest in gasification technologies. 4) academic institution - any academic institution that supports the purposes of the council and which has an academic interest in gasification technologies. 5) emeritus membership - any individual who is a former member of the board of directors and who is currently active in the field of gasification. Emeritus membership is only by invitation from the gtc board of directors.

Form 990, Part VI, Section A, Line 7A

Each regular member in good standing shall have the right to one (1) vote at all meetings of the organization and shall designate in writing one of its officers or other employees as a representative to represent it and vote on its behalf at meetings of the organization, and may from time to time, in the absence of such representative, designate in writing an alternative officer or employee to represent it and vote on its behalf. The term "regular member," as hereinafter used, shall mean either a regular member or a duly constituted representative of alternate. No regular member shall have the right to vote until the regular member's dues shall have been paid. Other members shall not have the right to vote at meetings of the members of the organization.

The organization's form 990 is prepared by an outside cpa firm. Once completed, a draft of the 990 is provided to the executive director who copies and circulates the 990 to the executive committee. Directors and members are informed that the 990 is available upon request prior to filing.

The organization distributes the conflict of interest policy to all board members. All board members must disclose any existing conflicts of interest, and those board members must then recuse themselves from any discussion of a matter in which a conflict exists. If the board discovers the existance of a conflict which was not previously disclosed, the board shall take appropriate disciplinary and corrective action.

Financial Statement Notes

PART X, LINE 2:

The organization adopted the recognition requirements for uncertain income tax positions as required by generally accepted accounting principles. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than-not be sustained upon examination by taxing authorities. The organization believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization is not currently under examination by any taxing jurisdictions. The organization's federal and state tax returns are generally open for examination for three years following the date filed.
