“During the fiscal year, the Bylaws were amended. Section V.2.b.iii was amended and restated in its entirety to read as follows: At each annual meeting of Members, one group of regular Directors shall be elected to succeed those whose terms expire. Membership on the Board of Directors as a regular Director shall be limited to three (3) consecutive two year terms. A Member may be eligible to serve as a regular Director for an additional set of three (3) consecutive two-year terms after a one year interval from the expiration of his/her term or resignation. These term limits shall not take into account any term being filled by a Member who has been appointed to fill a vacancy. Section VI.5.a was amended and restated in its entirety to read as follows: a. Quorum. Except as otherwise provided in the Articles of Incorporation or these Amended Bylaws, one third of the Board of Directors of the Corporation shall constitute a quorum for the transaction of business. Section VIII.5 was amended and restated in its entirety to read as follows: Section VIII.5. Committee Meetings, Quorums and Manner of Acting. Except as otherwise may be provided in these Amended Bylaws, meetings of any Member Committee of the Corporation shall be held at the call of the Chair of the Committee or as scheduled by the Committee. A quorum for the transaction of business at any meeting of a Committee shall be one-third of the members of the Committee. The act of a majority of the members of a Committee present at any meeting at which a quorum is present shall be the act of the Committee. Each Committee shall keep minutes of its meetings and provide the minutes for review by the Board of Directors at the Directors' next meeting”

“The organization members are graduates of the Leadership Fairfax Signature Program ("LFI"), the Emerging Leaders Institute ("ELI") or the Lifetime Leadership Program ("LLP"). Active Members are entitled to exercise voting privileges described in Form 990, Part VI, Section A, line 7a.”

“Each Active Member shall be entitled to one vote on each matter presented to the Members for a vote. In the election of Directors every Active Member is entitled to one vote for as many persons as there are Directors to be elected at that time.”

“The draft form 990 is circulated to every board member electronically prior to approval. The 990 is also discussed at the last board meeting prior to filing by the Audit Committee.”

“The conflict of interest policy is discussed annually at a board meeting.”

“The Executive Director's compensation includes a review and approval by the Board of Directors.”

“The organization's financial statements, Form 990, governing documents and conflict of interest policy are made available to the public upon request.”

“Other Community Outreach, Membership & Events- LFI uses various methods of communication and social media to engage alumni throughout the year. Community Outreach- SERVEFairfax connects alumni with opportunities to invest their skills and talents to serve the nonprofit community. Meetings and Events include the following: Board of Supervisors Breakfast- This annual event brings together leaders from all sectors for a conversation with the Fairfax County Board of Supervisors about developments across all parts of the county. Northern Virginia Leadership Awards- This annual luncheon event recognizes community leaders who have made a significant contribution through their vision, leadership, commitment and inspiration.”
