“The Executive Committee is composed of the Chairman and five Board Members. The Committee has the authority to act on behalf of the Board between meetings in any urgent or emergency situation (except the Executive Committee does not have the authority to alter or amend the Bylaws, to remove or appoint members of the Board, to elect or remove officers or the Executive Director, to fill vacancies on a committee, to authorize distributions, or to adopt an annual budget) and reports any action taken to the Board at the next scheduled Board meeting.”

The Treasurer/CFO reviews any and all potential conflicts and the President/CEO reviews the Treasurer/CFO's conflict of interest statement. Should any potential conflicts of interest be noted, the board member or officer would be asked to refrain from participation in any decision with regard to matters affected by the relationship.”

“The independent members of the Executive Committee of the Board of Directors reviews the salaries of all officers of the organization. Salaries are compared with those of other comparable organizations. The compensation approval process is documented and completed annually.”
