“Active members shall consist of sheriffs and the staff of each sheriffs' office provided they are in good standing in the virginia sheriffs' association.”

However, full disclosure of all actual and potential conflicts and a determination by the disinterested board member - with the interested board member(s) excused from participating in the debates and voting on the matter - are required. All actual and potential conflicts of interests shall be disclosed by board members to the vsa board through the annual disclosure form and/or whenever a conflict arises. The disinterested members of the vsa board shall make a determination as to whether a conflict exists and what subsequent action is appropriate (if any). On an annual basis, all board members shall be provided with a copy of this policy and required to complete and sign the acknowledgement and disclosure form. All completed forms shall be provided to and reviewed by the vsa board, as well as all other conflict information provided by board members.”

“The salary of the executive director is established by the board of directors of the virginia sheriffs' association and is reviewed annually after reviewing comparability data from the american society of association executives. The compensation of all other employees will be established by the executive director pursuant to funds available within the approved budget while maintaining comparability.”
