Governance Explanations

Form 990, Part VI, Section A, Line 3

The institute contracts with smithbucklin corporation to provide executive director services and management of the organization. The amount paid to smithbucklin corporation for the period ended december 31, 2024 totaled $1,900,123, and includes $333,142 for executive management, membership and operations, event services, tradeshow services, site selection and contracting, information technology, marketing and communications, creative and design services, content services, education and learning, financial management and accounting, sales services, and fulfillment services. The board of governors oversees smithbucklin corporation's performance under the contract.

Form 990, Part VI, Section A, Line 6

There shall be two classes of voting members in the association: individual and corporate. Individual members shall have the right to vote as provided in the bylaws of the institute. Corporate members shall not have the right to vote.
