“Per the bylaws, the executive and governance committee of the board of trustees shall consist of the chair of the board, the vice chair of the board, the president, the chairs of each committee of the board, and subject to the approval of the board, one trustee appointed by the chair of the board that is a member of the religious of the sacred heart of mary. Subject to the approval of the board, the chair may appoint additional trustees to the executive and governance committee. The chair of the board shall serve as the chair of the executive and governance committee. When the board of trustees is not in session, the executive and governance committee shall have and exercise all of the powers and authority of the trustees, except with respect to (i) amending, altering, or repealing any of the bylaws; (ii) electing, appointing, or removing any member of the executive and governance committee or any trustee; (iii) amending the university's articles of incorporation; (iv) approving or adopting a plan of merger or consolidation; (v) authorizing the sale, lease, exchange, mortgage, or transfer of any interest in land or all or substantially all of the property and assets of the university; (vi) authorizing the voluntary dissolution of the university or revoking authorization or proceedings therefore; (vii) adopting a plan for the distribution of the assets of the university; or (viii) approving an annual budget for the university as a whole.”
