Audit Committee and selection of independent auditors: The Audit Committee of the Delta Waterfowl Foundation selects the independent auditors, is interviewed during the audit, and reviews the final audit.

Form 990, Part VI, Section A, line 4

The Organization amended its bylaws in September of 2015. The significant change made was to remove the voting rights of the President and CEO. Both are non-voting members of the board.

Potential conflicts are monitored by management throughout the year and a letter is sent out to directors after the close of the year end, prior to the filing of the Form 990. In the event a conflict arises, no director or committee member shall vote on any matter under consideration in which such person has a conflict of interest.

All top management and financial official salary changes are reviewed by independent parties. Comparable data is obtained using information from similar organizations, ND Job Service, and executive search resources. The deliberation is documented via board meeting minutes.

Financial Statement Notes

Part V, Line 4:

The endowment funds of the Delta Waterfowl Foundation are specific donor restricted endowments with earnings used annually to fund various programs. Primarily the restrictions on the donor endowments fund the student research activities of the Foundation.

Part X, Line 2:

The Foundation is exempt from the payment of income taxes under Section 501(c)(3) of the U.S. Internal Revenue Code (the Code) and has been classified as an organization that is not a private foundation as defined in Section 509(a) of the Code. Additionally, the Foundation is exempt from the payment of non-resident withholding tax on income earned in Canada under the Canada-United States of America Income Tax Convention. The Foundation is exempt from the payment of income taxes under Section 149(1)(f) of the Canadian Income Tax Act. The Foundation evaluates its tax positions that have been taken or are expected to be taken on income tax returns to determine if an accrual is necessary for uncertain tax positions. As of February 29, 2016 and February 28, 2015, the unrecognized tax benefit accrual was zero. The Foundation will recognize future accrued interest and penalties related to unrecognized tax benefits in income tax expenses if incurred.

Programs are achieved through the use of various tools including Communications, Research, Demonstration and Outreach. Intensive Management includes initiatives such as Predator Management, Habitat Initiatives and Henhouses. Intensive Management Programs are also achieved through a variety of tools such as Communications, Research, Demonstration and Outreach. The outcome of both traditional conservation programs and intensive management program are to increase waterfowl and conservation of the resource in the US and Canada. Waterfowl Conservation Programs also include the Waterfowl Heritage Funds Program Initiative or Local Chapter Programs. A portion of funds generated at the chapter level are returned to the chapter to do local projects within their region. Projects include youth hunts, henhouses, scholarships and a variety of programs which help local communities.

The initiatives used in hunter recruitment include First Hunt and Delta Waterfowls - Waterfowling Initiative programs. Both of these initiatives are accomplished via a wide range of tools including Communication, Research, Demonstration, Outreach and Volunteer Delivery. The outcome for these programs are to recruit new hunters, attract hunters back to the tradition, retain hunters and protect the rights of hunters which include access issues and gun control issues throughout the US and Canada. Also included is Waterfowl Heritage Funds Program Initiative or Local Chapter Programs. A portion of funds generated at the chapter level are returned to the chapter to do local projects within their region. Projects include youth hunts, henhouses, scholarships and a variety of programs which help local communities.
