The membership of the institute consists of honary members, fellows, members, student members, and institue affiliates.

Form 990, Part VI, Section A, Line 7A

Only fellows and members are allowed to vote in the election of officers and directors. Each district is entitled to elect at least one director to serve on the governing board. The election of the president and vice president takes place at the annual meeting.

Form 990 is prepared by a certified public accounting firm and a draft is provided to the organization for their review. The board reviews the form 990 prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

In order to sustain the institute of transportation engineers' reputation and continued success, national officers, council members, employees and members in leadership positions are expected to conduct themselves in a professional manner and adhere to the highest standards of honesty and integrity. All of the above named individuals are required to execute an appropriate acknowledgement of adherence to a code of ethics policy upon assuming their positions and national officers, council members, and key employees are required to make annual disclaimer or disclosure of conflicts of interest in accordance with the internal revenue service guidelines. The board of directors consistently monitors and reviews the conflict of interest policy to ensure compliance with the policy. The organization's conflict-of-interest policy covers all directors, officers, and key employees. Covered persons must disclose any potential conflicts annually and as they arise. When a potential conflict is identified, it is reviewed by the full board of directors, excluding the interested person. The board determines whether a conflict exists and, if so, how to proceed. Individuals with a conflict may provide factual information but are prohibited from participating in deliberations or voting. All disclosures and recusals are documented in the meeting minutes. If a conflict is discovered after a transaction has occurred, the board reviews it and takes corrective action as needed.

PART X, LINE 2:

The organization is generally exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. In addition, the organization qualifies for charitable contribution deductions and has been classified as an organization that is not a private foundation. Income which is not related to exempt purposes, less applicable deductions, is subject to federal income tax. There was no tax liability for unrelated business income for the year ended december 31, 2024. Management has evaluated the organization's tax positions and has concluded that the organization has taken no uncertain tax positions that require adjustment to the financial statements. The organization's federal return of organization exempt from income tax (form 990) and exempt organization business income tax return (form 990-t) are open to examination by the irs generally for three years after they were filed.
