Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee consists of the Chair, the Vice Chair, the CEO and Treasurer and such other members as the Board may determine. The Executive Committee may act in the place and stead of the Board between Board meetings on time-sensitive matters, except those specifically reserved to the Board by the Bylaws. Actions of the Executive Committee shall be promptly reported to the Board by in writing and at the next following Board meeting.
