Governance Explanations

Form 990, Part VI, Section A, line 3

The Association engaged SmithBucklin, an association management company that provided management services and headquarter facilities. In accordance with the Organization's bylaws, the management company manages all aspects of the Organization including but not limited to accounting, finance, membership, meeting planning, marketing, information technology, and administration. During 2020, the management company was paid $1,433,269 for services and facilities.

Form 990, Part VI, Section A, line 6

Membership Categories. The membership of BSCAI shall be composed of the following categories: Professional Members. Professional membership may be granted to entities primarily engaged in the provision of services in and surrounding commercial buildings on a contract bases. Associate Members. Associate membership may be granted to entities engaged in the manufacturing, converting, or supply of products or services used in the building service contract industry. Franchisor Members. Franchisor membership may be granted to entities or individuals that grant franchises to other individuals or entities for the purpose of engaging in any aspect of the building service industry, either in whole or in part. Allied Members. Allied membership may be granted to entities or individuals that: (i) are interested in the building maintenance industry (ii) support BSCAI's purposes; and (iii) are not otherwise qualified for membership in BSCAI. For example, in-house maintenance personnel, libraries, industrial engineers, architects, and educational institutions shall be eligible for Allied membership. Security Members. Security membership may be granted to entities primarily engaged in the provision of security services to commercial buildings on a contract basis. Honorary Members. Professional membership may be granted to any individual or entity not otherwise eligible for membership in BSCAI that has rendered distinctive service or assistance to BSCAI, and such additional criteria as may be established by the Board of Directors from time to time. Nominations for Honorary membership may be made by any member of the Board of Directors. A nominee may be elected to Honorary membership by the affirmative vote of two-thirds (2/3) of the members of the Board of Directors.

Form 990, Part VI, Section A, line 7A

Only Professional Members ("the voting members") may vote, serve as members of the Board of Directors or hold office; however, Security members may serve on the Board of Directors. The Nominating Committee shall recommend a slate of qualified members to serve as At Large Directors to the Board of Directors for approval. The Board of Directors shall present such slate to the Professional members for election, with such changes as it deems necessary or prudent, in its sole discretion. The election shall be conducted in the manner determined by the Board in accordance with these Bylaws.

In accordance with the Organization's bylaws, the management company manages all aspects of the Organization including but not limited to accounting, finance, membership, meeting planning, marketing, information technology, and administration. During 2020, the management company was paid $1,433,269 for services and facilities.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1Membership Categories. The membership of BSCAI shall be composed of the following categories: Professional Members. Professional membership may be granted to entities primarily engaged in the provision of services in and surrounding commercial buildings on a contract bases. Associate Members. Associate membership may be granted to entities engaged in the manufacturing, converting, or supply of products or services used in the building service contract industry. Franchisor Members. Franchisor membership may be granted to entities or individuals that grant franchises to other individuals or entities for the purpose of engaging in any aspect of the building service industry, either in whole or in part. Allied Members. Allied membership may be granted to entities or individuals that: (i) are interested in the building maintenance industry (ii) support BSCAI's purposes; and (iii) are not otherwise qualified for membership in BSCAI. For example, in-house maintenance personnel, libraries, industrial engineers, architects, and educational institutions shall be eligible for Allied membership. Security Members. Security membership may be granted to entities primarily engaged in the provision of security services to commercial buildings on a contract basis. Honorary Members. Professional membership may be granted to any individual or entity not otherwise eligible for membership in BSCAI that has rendered distinctive service or assistance to BSCAI, and such additional criteria as may be established by the Board of Directors from time to time. Nominations for Honorary membership may be made by any member of the Board of Directors. A nominee may be elected to Honorary membership by the affirmative vote of two-thirds (2/3) of the members of the Board of Directors.

The Nominating Committee shall recommend a slate of qualified members to serve as At Large Directors to the Board of Directors for approval. The Board of Directors shall present such slate to the Professional members for election, with such changes as it deems necessary or prudent, in its sole discretion. The election shall be conducted in the manner determined by the Board in accordance with these Bylaws.
