Governance Explanations

Form 990, Part VI, Section A, Line 3

Effective january 1, 2020, the corporation entered into a management agreement with tm associates management, inc. (management agent), to manage the rental operations of the apartment community. The management fee calculation is based on 13% of residential income collections with a maximum of $64.84 per occupied unit per month. Property management fees charged to the project totaled $7,521 for the period january 1, 2020 through june 30, 2020. Prior to january 1, 2020, the corporation was entered into a management agreement with corporation for shelter management (prior management agent), to manage the rental operations of the apartment community. The management fee calculation is based on 9.93% of residential income collections with a maximum of $38.20 per occupied unit per month. Property management fees charged to the project totaled $4,584 and $9,168, for the period july 1, 2019 through december 31, 2019 and the year ended june 30, 2019, respectively. The amount due to the management agent related to management fees as of june 30, 2020 and 2019 totaled $-0- and $764, respectively.

Financial Statement Notes

PART X, LINE 2:

No provision or benefit for income taxes has been included in these financial statements since the corporation was organized as a not-for-profit corporation and has secured tax exempt status under section 501(c)(3) of the internal revenue code. The corporation accounts for uncertainty in income taxes in accordance with accounting standards codification for income taxes. This interpretation prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. This interpretation also provides guidance on derecognition, classification, interest and penalties, accounting in interim periods, disclosure and transition. The corporation determined that all income tax filing positions would be sustained upon examination and accordingly, has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions as of june 30, 2020 or 2019.
