Governance Explanations

Form 990, Part VI, Section B, Line 11

The draft federal form 990 is reviewed by the director of finance and compared to the audited financial statements for the year. Before issuance of the final draft federal form 990, the director of finance reviews the form with the executive director, john k. Clark, for approval. If feasible, the federal form 990 is made available to the executive committee at the time of the audited financial statement review. It is also e-mailed to the entire governing body prior to being filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The center's policies and procedures handbook clearly states its policy on a conflict of interest of employees and board members. Each new staff and board member is required to review a copy of this policy and to acknowledge in writing that he or she has done so. Each staff and board member annually completes a disclosure confirming that he or she does not have a conflict of interest or identifying any relationships, positions or circumstances in which he or she is involved that he or she believes could contribute to a conflict of interest arising. The conflict of interest policy is reviewed annually by each member of the board of directors. Any changes to the policy are communicated immediately to all staff and board members. If a staff or board member has an interest in a proposed transaction with the center in the form of a significant personal financial interest in the transaction or in any organization involved in the transaction, or holds a position as trustee, director, or officer in any such organization, he or she must make full disclosure of such interest before any discussion or negotiation of such transaction. Any board or committee member who is aware of a potential conflict of interest with respect to any matter coming before the board or committee shall not be present for any discussion of or vote in connection with the matter. In addition, the center's projects are actively discussed and reviewed at additional board meetings and in communications throughout the year. Board members are aware that they should reveal any conflicts in the event that a new project would present such a situation.

Form 990, Part VI, Section B, Line 15

To determine salary ranges for a cluster of similar positions, the center uses compensation surveys from sources such as the maryland nonprofits salary survey, greater washington area association compensation and benefits study, nonprofit times salary survey, and the office of personnel management salary table. This process was last completed in 2013. Individual salaries of officers and key employees are then determined by the center's management team based on the person's qualifications and experience.

The center's omb circular a-133 audit report/single audit reporting package is filed with the federal audit clearinghouse on an annual basis. All other documents, including the conflict of interest policy, are available upon request.

THE GOAL OF THE CONSORTIUM IS TO DEVELOP HIGH-QUALITY, STANDARD TRAINING MATERIALS THAT CAN BE USED ACROSS LOCATIONS. THE CENTER CONVENES REGULAR MEETINGS IN PERSON AND VIA WEBINAR OF EXPERIENCED SUBJECT MATTER EXPERTS TO DEVELOP FULL COURSE BOOKS WITH TEXT, GOOD GRAPHIC ILLUSTRATIONS, POWER POINTS, INSTRUCTOR GUIDES AND QUIZZES. IN 2014, LEADERSHIP AND WORKING GROUPS MET REGULARLY IN PERSON AND VIA WEBINAR, AND THE FULL CONSORTIUM MET IN NEW YORK AND CHARLOTTE. SUBSTANTIAL PROGRESS WAS MADE ON DEVELOPING FULL COURSEWARE IN SEVERAL SUBJECTS. FTA FUNDING ENDED ON DECEMBER 31, 2014, BUT WORK WILL CONTINUE INTO 2015 WITH AGENCY FUNDING.

FOR CAREER LADDERS, THE CENTER HELPED THE DES MOINES AREA TRANSIT AND ATU LOCAL 441 TO DEVELOP A FUNCTIONING BUS MAINTENANCE APPRENTICESHIP PROGRAM. SIMILARLY, THE GREATER CLEVELAND REGIONAL TRANSPORTATION AUTHORITY AND ATU LOCAL 268 WORKED WITH THE CENTER ON DEVELOPMENT OF A RAIL CAR APPRENTICESHIP. IN WEST VIRGINIA, THE CENTER WORKED WITH THE STATEWIDE CAREER AND TECHNICAL EDUCATION SYSTEM AT THE WV DEPARTMENT OF EDUCATION AND WITH THE RAHALL INSTITUTE FOR TRANSPORTATION AT MARSHALL UNIVERSITY. WV HAS A STRONG SYSTEM OF CTE, AND THE GOAL OF THIS EFFORT WAS TO STRENGTHEN EXPOSURE OF STUDENTS TO OPTIONS IN TRANSPORTATION CAREERS. IN PHILADELPHIA, THE CENTER WORKED WITH THE KEYSTONE DEVELOPMENT PARTNERSHIP, TWU LOCAL 234, THE SOUTHEASTERN PENNSYLVANIA TRANSPORTATION AUTHORITY AND PHILADELPHIA ACADEMIES. THIS PROJECT BUILT ON SOME GOOD PRIOR WORK IN YOUTH OUTREACH. A PARTNERSHIP BETWEEN ATU LOCAL 382 AND THE UTAH TRANSPORTATION AUTHORITY DEVELOPED NEW PROGRAMS FOR YOUTH OUTREACH THERE. A FINAL WORKING MEETING TO DISCUSS PROGRAM ACCOMPLISHMENTS WAS HELD IN SEPTEMBER 2014. A FINAL REPORT WAS ISSUED TO FTA AT THE CONCLUSION OF THE PROJECT.

EACH STAFF AND BOARD MEMBER ANNUALLY COMPLETES A DISCLOSURE CONFIRMING THAT HE OR SHE DOES NOT HAVE A CONFLICT OF INTEREST OR IDENTIFYING ANY RELATIONSHIPS, POSITIONS OR CIRCUMSTANCES IN WHICH HE OR SHE IS INVOLVED THAT HE OR SHE BELIEVES COULD CONTRIBUTE TO A CONFLICT OF INTEREST ARISING. THIS PROCESS WAS LAST COMPLETED IN 2013. INDIVIDUAL SALARIES OF OFFICERS AND KEY EMPLOYEES ARE THEN DETERMINED BY THE CENTER'S MANAGEMENT TEAM BASED ON THE PERSON'S QUALIFICATIONS AND EXPERIENCE.
