Governance Explanations

Form 990, Part VI, Section A, Line 1

Ace has an executive committee, consisting of the president, the vice president, the secretary, the treasurer, and two (2) other trustees selected by the president. The executive committee, chaired by the president, provides counsel and guidance to the executive director in establishing agendas for trustee meetings and in setting the broad parameters of corporation initiatives. The executive committee is empowered to act for the board of trustees when it is not in session. Any action taken by the executive committee is deemed ratified by the board of trustees unless disapproved by a majority of trustees present at the next board meeting.

Form 990, Part VI, Section A, Line 7A

The ace board consists of at least 7 trustees, including the president and chairman of the consumer products specialty association (cspa), with at least five additional at large trustees. Ace has a nominating committee that appoints the trustees at large; this committee consists of the ace executive committee (as described in answer to question 1a) and at least one sponsor selected by the president. The nominating committee, chaired by the president, prepares a list of one qualified nominee for each office and trustee at large to be elected due to term expiration. The list of nominees is then provided to the board at least fifteen days in advance of the meeting at which the elections will be held. With regard to officers: the secretary of ace is the president of cspa; the other officers (president, vice president, treasurer) are elected by the trustees themselves, from among the sitting board.

The form 990 is reviewed by the cspa vice president and controller, and then is made available to the board of trustees before it is filed.

The ace executive director's salary adjustment and bonus are determined by the ceo of cspa based on various factors related to previous year's job performance. The ceo will discuss the executive director's performance with the ace board leadership. The ace board approves the salaries and benefits line item of the ace annual budget.
