Conflict of interest policy compliance Part VI line 12C

The conflict of interest policy covers directors and officers of the organization, Determinations of whether a conflict exists and the review of actual conflicts are made the board level. Any director or officer of the corporation with knowledge of an actual or potential conflict of interest on the part of any oo any officer or director of the organization, shall inform the Board of the conflict. The Board shall obtain disclosure of the financial interest and al material facts. After any discussion with the interested person she/he may be asked to leave the meeting while the Board determines whether a conflict of interst exists. If the board determines that a conflict exists, they shall follow these procedures to address it. 1) The interested oarty may make a presentation to the board 2) The board will investigate the alternatives to the proposed transaction or arrangement. After exercising due diligence the Board shall determine whether the transaction or arrangement is fair to the organization. The transaction must be aprroved by a majority of a quorum of the Board who have no direct or indirect interst in the transaction, except that such a transaction cannot be approved by a single director.

Any director or officer of the corporation with knowledge of an actual or potential conflict of interest on the part of any oo any officer or director of the organization, shall inform the Board of the conflict. The Board shall obtain disclosure of the financial interest and al material facts. After any discussion with the interested person she/he may be asked to leave the meeting while the Board determines whether a conflict of interst exists. If the board determines that a conflict exists, they shall follow these procedures to address it. 1) The interested oarty may make a presentation to the board 2) The board will investigate the alternatives to the proposed transaction or arrangement. After exercising due diligence the Board shall determine whether the transaction or arrangement is fair to the organization. The transaction must be aprroved by a majority of a quorum of the Board who have no direct or indirect interst in the transaction, except that such a transaction cannot be approved by a single director.
