American Academy of Nursing

“The American Academy of Nursing has two classes of members: 1) Sole Corporate Member; 2) A Fellow. The Fellow class is considered Regular Fellows or Honorary Fellows. Regular Fellows have special categories as follows: A) Charter Fellows B) Living Legends, C) Emeritus Fellows, and D) Lifetime Fellows. Regular Fellows may be approved for Inactive Status. Regular Fellows are nurses who hold membership in an ANA Membership; or hold citizenship in non-U.S. countries, and are members of a national nurses association (NNA) that is a member of the International Council of Nurses (ICN), if eligible. Honorary Fellows are persons outside of the nursing profession who have been designated for Fellowship by the Board of Directors based on their outstanding contributions to nursing and/or health care and their significant potential for continuing contributions to nursing, health care, and the Academy. They can use the FAAN credential following their names.”

“Fellows elect officers, directors and members of standing committees. Elections are held at the annual meeting of the Academy, by mail or electronic ballet.”

“The sole corporate member retains the exclusive power to amend the articles of incorporation, after consultation with the Academys Board of Directors. Consent of the Sole Corporate Member is required to repeal the bylaws, or to amend or alter the following provisions of the bylaws: Article II (Membership) in its entirety; Article III, Sections 3a) (Regular Fellows Qualifications) and 7a) (Fellows in Good Standing); Article VI (Board of Directors) in its entirety; Article IX (Amendments to Bylaws) in its entirety; and Article X (Conflict Resolution) in its entirety.”

“The Academy provides a complete copy of the Form 990 and 990-T to all members of its governing body before filing the returns.”

“The American Academy of Nursing has a conflict of interest policy covering any director, officer, employee, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest. All individuals are required to annually sign a statement which acknowledges the conflict of interest policy. Covered individuals are required to disclose the existance of a financial interest and be given the opportunity to disclose all material facts to the directors and members of the committees with governing board delegated powers considering the proposed transactions or arrangement. The determination of whether a conflict exists is made in the governing board or committee. When an individual has been identified with a conflict, the person may make a presentation concerning the isssue, but must leave the meeting during the discussion of, and the vote on the transaction or arrangement involving the possible conflict of interest.”

“The Board of Directors reviews compensation of other like sized and geographically located not-for-profit organizations executives before approving the Chief Executive officer (CEO)s compensation.”

“The Academy has not changed its audit oversight process from the previous year.”
