Consent of the sole corporate member is required to repeal the bylaws, or to amend or alter the following provisions of the bylaws: artlice ii in its entirety; article iii, section 1.2; article vi in its entirety; article vii in its entirety; and article ix in its entirety.”

“The american academy of nursing has a conflict of interest policy covering any director, officer, employee, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest. All individuals are required to annually sign a statement which acknowledges the conflict of interest policy. Covered individuals are required to disclose the existence of a financial interst and be given the opportunity to disclose all material facts to the directors and members of the committees with governing board delegated powers considering the proposed transactions or arrangement. The determination of whether a conflict exists is made by the governing board or committee. When an individual has been identified with a conflict, the person may make a presentation concerning the issue, but must leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.”

“The board of directors reviews compensation of other not-for-profit organizations' executives before approving the chief executive officer (ceo)'s compensation. The most recent year in which the ceo compensation was reviewed was in 2017. Chief operating officer (coo) is relatively new position. The board determined coo's original salary based on use of data on comparable positions. The board sets percentage of raises for all staff and includes the coo.”
