If any actual or potential conflict were to arise, the general counsel would work with the governance committee, the board and management, as appropriate, to facilitate the assessment of the fairness of the transaction, to ensure recusal of any interested party from deliberations or voting related to the transaction, and otherwise monitor compliance with the policy.”
