Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 will be reviewed by the board co-chairs, finance committee, and foundation president prior to filing. The filed form will be reviewed by the entire board at the next scheduled board meeting.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to directors and members of the committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and correction action. In january, an email from the governance committee goes out to the board of directors with a memo reminding them that tclf has adopted a conflict of interest policy which addresses financial relationships board members may have with tclf and with each other. Among other things, the policy requires each member of the board to sign a statement that s/he has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Attached to the email is a copy of the policy and two forms - the annual conflict of interest statement, and the conflict of interest disclosure form - which the directors are asked to read the policy and complete.

Form 990, Part VI, Section B, Line 15A

The board co-chairs conduct a performance review of the president of the foundation. A report noting compensation for presidents and ceos for similar organizations and for organizations in the washington, dc area is compiled. The compensation committee, comprised of the two board co-chairs and two executive committee members who are firm principals involved in firm management, meet to discuss the findings, the previous year's fiscal performance and the performance review then form a recommendation for compensation. The recommendation is shared with the executive committee who examines the comments and makes final determination of compensation increase.
