Where an actual or potential conflict exists, the interested party will not participate in any way or be present during deliberations and decision-making with respect to such action or transaction.”

The board of directors considers the committee's recommendation and the board's decision is reflected in its meeting minutes. The executive and associate executive director determine the compensation for the rest of the management team. This review process last took place in 2014 and is ongoing for 2017.”
