“Any director, officer, key employee or committee director having an interest in a contract or other transaction presented to the board or a committee thereof for consideration, authorization, approval, or ratification shall make a prompt, full, and frank disclosure of his interest to the board or committee prior to its acting on such contract or transaction. Such disclosure shall include any relevant and material facts, known to such person, about the contract or transaction which might reasonably be construed to be adverse or potentially adverse to the corporation's interest so long as hud holds a section 811 mortgage on the housing project owned by the corporation, the corporation shall, upon receipt of such information containing notice of a potentially conflicting interest, notify hud of the potential conflict. Upon receipt of such notification, hud may require that the officer or the directorresign, or may prohibit the corporation from entering into the contract or transaction. Independent from, but subject to any such review by hud, the following procedure shall apply. The body to which such disclosure is made shall thereupon determine, by majority vote, whether the disclosure shows that a conflict of interest exists or can reasonably be construed to exist. If a conflict is deemed to exist, such person shall not vote on, nor use his or her personal influence on, nor participate (other than to present factual information or to respond to questions) in the discussions or deliberations with respect to, such contract or transaction. Such person may be counted in determining the existence of a quorum at any meeting where the contract or transaction is under discussion or is being voted upon. The minutes of the meeting shall reflect the disclosure made, the vote thekeon, and, where applicable, the abstention from voting and participation, and that a quorum as present. The board may adopt conflict of interest policies requiring regularannual statements from directors, officers and key employees that disclose existing and potential conflicts of interest; and corrective and disciplinary actions with respect to transgressions of such policies. The directors, committee directors, officers, and employees of the corporation shall exercise the utmost good faith in all transactions touching upon their duties to the corporation and its property. In their dealing with and on behalf of the corporation, they are held are to a strict rule of honest sincere dealing between themselves and the corporation. They shall not use their positions, or knowledge gained therefrom, so that a conflict might rise between the corporation's interest and that of the individual.”
