The corporation initially shall have two classes of participants, classes a and b. The corporation may have such other classes of participants as may be determined by a two-thirds vote of the entire board of directors.

Each initial class a participant shall have the right to nominate one individual for appointment to the initial board of directors, provided that any initial appointment shall be void and of no effect of the nominating class a participant fails to pay dues in the amount set by the initial board of directors in accordance with article ii, section 2 (d). The initial board of directors can be increased until and shall serve until the first annual meeting of the corporation and the earliest of the election or appointment and qualification of each initial board member's successor or until such initial board member's death, resignation, or removal.

The ceo's compensation was thoroughly reviewed with a specialized outside firm and considered by the recruitment committee on the occasion of the new ceo formal hire in late 2023. PART X, LINE 2:

The organization follows the authoritative guidance relating to accounting for uncertainty in income taxes included in asc topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's consolidated financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is the organization's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The organization performed an evaluation of uncertain tax positions for the year ended december 31, 2024, and determined that there were no matters that would require recognition on the consolidated financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which iard files tax returns, and for four tax years with the united kingdom in which iard, uk files tax returns.
