The draft 990 was prepared by the outside accountants and reviewed by senior management. The draft was then reviewed by the controller before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

New directors will be given a copy of this policy and specifically asked to read and understand it. Each director will be asked to complete a conflict of interest policy disclosure statement upon his or her election to the board and on an annual basis thereafter. In terms of dealing with a potential or actual conflict: after identifying the issue, matter or transaction with respect to which a conflict exists, a director with a conflict shall withdraw from any further involvement in that issue, matter or transaction unless a majority of the disinterested directors shall determine that the conflict is (i) immaterial or not adverse to the interests of the institute or (ii) the benefits of allowing the person with the conflict to participate in the discussion or consideration, but not the final decision, outweigh the dangers; in which case the person may participate in the discussion, study or consideration of the issue, matter or transaction, but not the final discussion or decision.

Form 990, Part VI, Section B, Line 15

The board of directors establishes the salaries of the co-directors of the organization. The co-directors of the organization establish the salaries of other staff based on a variety of factors including education, experience, responsibility level, and the job market for the skills required. The board approves an annual budget for the organization which includes a percent increase in salaries. This percent salary increase is determined each year when the budget is established. Annually on january 1st, the co-directors receive a percent increase in their salary equal to the standard percent increase in salaries approved and documented by the board in the annual budget. The co-directors determine salary increases for other staff either at the anniversary of the employee's date of hire or promotion. These increases are based on the percent increase in salaries approved by the board as part of the organizational budget but may be smaller or larger based on a variety of factors including responsibility level, performance, tenure, and the job market for the skills required. The date of last compensation review was january 2014.
