Governance Explanations

Form 990 governing body review Part VI line 11

A full review of the form 990 is conducted by the board of directors, the executive director and the finance manager before it is filed with the irs. The form 990 is distributed both electronically and in paper form to the full board of directors by the executive director for review, prior to board approval.

Conflict of interest policy compliance Part VI line 12C

The organizations conflict of interest policy is applicable to the board of directors and all highly compensated employees of the organization. Any director or senior employee who has a direct or indirect financial and/ or personal interest, and has the ability to influence a transaction or business arrangement, must disclose their potential conflict of interest, and all material facts, to the board of directors. After disclosure of the potential conflict of interest and after discussion with the interested party, the individual will leave the board meeting while determination of a potential conflict of interest is discussed. The board chair can, if appropriate, appoint a disinterested party or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board of directors will determine if the organization can obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict. If a more advantageous alternative is not possible, the board, by majority vote, will determine if the transaction or arrangement is in the best interest of the organization. The minutes of the board meeting and of all related commitees with board designated powers will contain the names of persons disclosing an actual or possible conflict of interest, the nature of the interest, any action taken to determine if a conflict of interest exists, and the board decision as to whether a conflict existed. Additionally, the names of all present for discussions and voting relating to the transaction or arrangement, the content of the discussion and record of the votes within the proceedings are also documented in the board minutes. If the board of directors has reason to believe that a director or employee has failed to disclose an actual or potential conflict of interest, the individual will be informed, and given an opportunity to explain the failure to disclose. If it is determined by the board of directors that the person has failed to disclose an actual or possible conflict of interest, appropriate disciplinary and corrective action will be taken. Each member of the board of directors, member of a board committee, and senior employee of the organization will annually sign a statement that confirms that the individual has received a copy of the conflict of interest policy, they have read and understood the policy, and that they agree to comply with the policy. The disclosure forms are retained within the organizations book and records.

Part III response or note to any other line in Part III

Form 990, part i, summary, line 1 - organizations mission or most significant activitiesthe lambi fund of haitis mission is to work with local organizations in haiti to support efforts to change the living conditions of rural communities in a context of democracy, social justice and sustainable development. The lambi fund of haiti sets its priority focus on rural farming. They are as follows: sustainable development, animal husbandry, environment, alternative economy, and training/ capacity building/ advocacy. The lambi fund supports the specific project development and in addition provides training and eduction specific to each project to build organizational capacity and skill sets needed for longevity and sustainability. -form 990, part iii, line 4a first accomplishmentsustainable development and animal husbandryin 2024, lambi fund of haiti aided 3 organizations in its goat and sheep breeding endeavor. This project seeks to aid in improving the farmers quality of life and promotes self-sufficiency. The peasant organizations who received aid from lambi fund of haiti used funds to purchase sheep and goats. During the year, the peasant organizations received training and education to ensure proper care and treatment of the animals. Training are provided in both formal and informal settings to increase the likelihood of success. Members, also, have access to a veterinary techician to guide and instruct as needed. In addition, the members utlized funds to purchase medical supplies for preventing and treating the most common diseases, typically, experienced amongst the goats and sheep. As a result, the members experienced very minimal loss of their livestock. Hence, their livestock successfully multipled which allows the members to expand and add new members. -form 990, part iii, line 4b - second accomplishmentalternative economyin 2024, lambi fund of haiti supported womens autonomy in creating economic opportunities. The members of the organizations were given a credit to aide in the start-up of their small economic venture. The beneficiaries purchased all kinds of goods and products such as shoes, clothing, household goods, hygiene products, and other basic necessities to resell. Prior to the start of the funded projects, there were about 50 members who attended training on the topics of credit portfolio management and how to manage their trade. The members learned necessary and fundamental tools that aimed in promoting their success. In southern haiti and the area of latibonite, 5 organizations were given funding to launch their endeavors. Lambi fund of haiti monitored the organizations and offered consultation services as needed.lambi fund of haiti has not imposed its reimbursement terms on the oranizations in orders to minimize any financial constraints. -form 990, part iii, line 4c third accomplishmentemergency/disaster reliefthe needs after a disaster is consistently present. Haiti often experiences natural disasters that makes its pre-existing issues more challenging. Haiti is located in a region where it is prone to tropical storms, hurricanes, and earthquakes. Therefore, natural disasters are both unavoidable and inevitable.due to the lack of funding, lambi fund of haiti assisted 1 organization to rebuild their farms/ gardens. The funds were used to buy seedlings, tools, and other farming essentials. Recovery time varies and, oftentimes, gradual. The countrys overall lack of resources and political unrest contributes to the gradual recovery process timeframe. As a result, those affected are rarely fully restored but the aid helps farmers/members of these peasant organizations return to its operation. -form 990, part iii, line 4d fourth accomplishmentenvironmentfunding has continued to decline in 2024. Consequently, lambi fund of haiti did not have much resource at its disposal to support the great need of combatting degradation and deforestation. Nonetheless, lambi fund of haiti continued to monitor the peasant organiza

IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt0THE LAMBI FUND OF HAITI REQUIRES THE ORGANIZATIONS TO HAVE A CERTAIN STRUCTURE: A LEADER, A COMMITTEE, GENERAL ASSEMBLY, ESTABLISHED CASH FUND, MEANINGFUL ACTIVITIES. FROM THE POOL OF ORGANIZATIONS THAT FIT THE LAMBI FUND OF HAITIS GRANT CRITERIA, THE COMMITTEE SELECTS THOSE ORGANIZATIONS THAT ARE THE POOREST AND DOING GREAT WORK TO RECEIVE GRANTS FROM THE LAMBI FUND OF HAITI. GRANTS ARE MADE TO THE COMMUNITY BASED ORGANIZATIONS LOCATED IN RURAL HAITI AND OTHER MARGINALIZED GROUPS IN URBAN NEIGHBORHOODS TO FACILITATE ECONOMIC DEVELOPMENT AND DURABLE AGRICULTURE.THE PROCEDURE TO APPROVE OR FUND A PROJECT INCLUDES A LONG PHASE OF INVESTIGATION OF THE REQUEST INCLUDING MONITORING OF FIELD ACTIVITIES OF THE ORGANIZATION SUBMITTING A REQUEST. ALL PROJECTS THAT ARE PROPOSED HAVE A DETAILED BUDGET PREPARED BY THE ORGANIZATION, REVIEWED BY THE LAMBI FIELD STAFF AND APPROVED BY THE BOARD OF DIRECTORS. UPON APPROVAL, THE FIELD STAFF MAKES GRANTS TO THE ORGANIZATION BASED ON THE LINE ITEMS ON THE BUDGET AND THE TIMELINESS OF THE EXPENSE BASED ON THE IMPLEMENTATION PLAN. IT WOULD NOT BE UNUSUAL TO FIND MULTIPLE CHECKS ALLOCATED TO ONE ORGANIZATION AT DIFFERENT TIMES THROUGHOUT THE PROJECTS IMPLEMENTATION PROCESS. DUE TO INFRASTRUCTURE DEVELOPMENT OR LACK THEREOF, THE STAFF USUALLY MAKES DIRECT PURCHASES OF EQUIPMENT; AND ALSO PAYS TRAINERS AND CONSULTANTS PROVIDING TRAINING AND EDUCATION TO THE ORGANIZATIONS AND COMMUNITY PARTICIPANTS DIRECTLY. OFTEN, TOOLS AND EQUIPMENT ARE NOT AVAILABLE FOR PURCHASE IN THE DEEP RURAL AREAS. THESE PURCHASES ARE MADE FROM THE SAME APPROVED BUDGETED AMOUNT FOR THE SPECIFIC PROJECT. OTHER MATERIAL EXPENSES SUCH AS TRANSPORTATION, TRAVEL, FOOD, PER DIEM FOR PARTICIPANTS ARE ALSO BUDGETED AND ALLOCATED BY THE LAMBI FIELD STAFF. THESE EXPENSES ARE ALSO FROM THE APPROVED GRANT TO THE BENEFICIARY ORGANIZATION.
IRS990ScheduleF/SupplementalInformationDetail/ExplanationTxt1THE ACCRUAL METHOD OF ACCOUNTING IS USED TO RECORD TRANSACTIONS IN THE FUNDS BOOKS AND RECORDS.
