Governance Explanations

Form 990, Part VI, Section B, Line 11B

The return was prepared by the outside accountant and reviewed by senior management. The draft 990 was reviewed and approved by the finance and audit committee. A copy was sent to the entire board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

During the december board of directors meeting, board members are asked to complete a conflict of interest sign-off sheet. If any conflict of interest arises with regard to a matter requiring action by the board of directors, the interested person brings it to the attention of the board of directors and such person does not vote on the matter. Staff are expected to keep supervisors informed of any outside activities related to the work they do at the dialogue, and any concerns are addressed at that level. Staff also complete a conflict of interst form annually.

Form 990, Part VI, Section B, Line 15A

In determining the president's compensation, the director of finance and administration submits to the treasurer of the board the results of relevant compensation surveys, other form 990s, the salary history of the president and management's recommendation for overall raise policies for the coming year. This information is then discussed by the compensation committee of the board. The compensation committee makes a decision regarding the president's compensation for the following year in closed session and submits their decision to board of directors during the executive session of the december board meeting. The final decision is submitted to the director of finance and administration for implementation. All salary increases are based on a combination of factors including market analysis, inflation, performance and internal equity. Staff salaries are approved by the president. All the information regarding the process is documented. The last salary review took place in november 2019.

The inter-american dialogue's governing documents, policies and audited financial reports are available to the public upon request. Audited financial statements are mailed or e-mailed to the dialogue's major funders, mainly upon their request.
