“The purpose of conflicts of interest policy is to protect the interest of diabetes action research and education foundation when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an ofiicer , director, or employee (hereinafter, interested person) of the foundation. In connection with any possible conflicts of interest, the interested person must disclose the existence and nature of his or her financial interest to the board of directors considering the proposed transaction or arrangement. After disclosure, the board meets and decides if a conflict of interest exists. If a member has failed to disclose actual or possible conflicts of interest, the board will investigate and take appropriate disciplinary and corrective action.”
