Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors reviews the form 990 after it is prepared for filing. Any changes they request to be made from their review are discussed and completed before it is signed and mailed.

Form 990, Part VI, Section B, Line 12C

Board members, officers and employees are advised in writing of the organization's conflict of interest policy and are required to report any conflict of interest annually. The organization regularly monitors compliance with the conflict of interest policy. If there is a transaction with the organization that could result in any benefit to the employee, their immediate family, or any entity in which they hold a significant financial ownership or other interest, the employee must refrain from participation in any action on such matters except upon approval of the board of directors after full and frank disclosure. Disclosure of a potential conflict and management's decision regarding the actions are noted and kept in a file by the chief executive officer. In the event that a situation arises where a member of the board of directors may have a conflict, he/she is obligated to report that potential to the board. The board will render a decision of that member's eligibility to be part of the voting. Disclosure of a potential conflict and the board of director's decision regarding voting will be noted in the minutes of the meeting.

Form 990, Part VI, Section B, Line 15A

The board of directors annually reviews and determines the salary of the ceo. Comparability data is used to determine competitive salaries and benefits within the organization's industry. The board also considers the organization's current financial status and budget when determining an increase in compensation.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are made available to the public upon request for the same period of disclosure as set forth in section 6104(d).

Additional Explanations

FORM 990, PART XII, LINE 2C:

This process remains unchanged from previous years.

Financial Statement Notes

PART X, LINE 2:

The organization follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The guidance on accounting for uncertainty in income taxes also addresses de-recognition classification, interest, and penalties on income taxes, and accounting in interim periods. Management has evaluated the organization's tax positions and has concluded that the organization has taken no uncertain tax positions that require adjustment to the consolidated financial statements to comply with the provision of this guidance. Generally, the organization is no longer subject to u.s. Federal, state and local income tax examinations by tax authorities for the years ended before 2014.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION FOLLOWS THE ACCOUNTING STANDARD ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES, WHICH ADDRESSES THE DETERMINATION OF WHETHER TAX BENEFITS CLAIMED OR EXPECTED TO BE CLAIMED ON A TAX RETURN SHOULD BE RECORDED IN THE FINANCIAL STATEMENTS.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE BOARD OF DIRECTORS REVIEWS THE FORM 990 AFTER IT IS PREPARED FOR FILING. ANY CHANGES THEY REQUEST TO BE MADE FROM THEIR REVIEW ARE DISCUSSED AND COMPLETED BEFORE IT IS SIGNED AND MAILED.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1BOARD MEMBERS, OFFICERS AND EMPLOYEES ARE ADVISED IN WRITING OF THE ORGANIZATION'S CONFLICT OF INTEREST POLICY AND ARE REQUIRED TO REPORT ANY CONFLICT OF INTEREST ANNUALLY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE BOARD OF DIRECTORS ANNUALLY REVIEWS AND DETERMINES THE SALARY OF THE CEO.
