Governance Explanations

Form 990, Part VI, Line 15 COMPENSATION PROCESS

The nra foundation relied on a related organization's processes to establish compensation of top management officials. Such processes utilize a compensation committee, independent compensation consultants, compensation surveys and studies, comparability data, and ultimate approval by the board of directors. All decisions are properly documented.

Form 990, Part VI, Line 4 Significant changes to organizational documents

In August 2024, The NRA Foundation made changes to its bylaws and articles of incorporation. The change to the articles is in Article TENTH which deleted the second sentence requiring number of trustees to be between a minimum of 7 to a maximum of 9 and adding "the Board of Trustees shall fix the authorized number of Trustees in accordance with the Bylaws." Changes to the Bylaws are detailed below: ARTICLE III: Section 1B: eliminated Trustee term limits. Section 1C: eliminated requirement that Trustees must be elected by the NRA Board of Directors and changed to requirement that Trustees be elected by current Foundation Trustees. Section 1D: eliminated requirement that majority of Trustees must be members of the NRA Board of Directors and changed to requirement that Trustees need only be outstanding members of the NRA. Section 1D: eliminated requirement that the President of the NRA will be ex officio member of Board of Trustees with full powers and changed it to only permitting the NRA President to have power to make, second or debate a motion but no voting power. Also eliminated the requirement that the Executive Vice President of the NRA is an ex officio member of the Board of Trustees with full powers. Now, the Executive VP has no membership on the Board of Trustees. Section 1F: increased maximum number of Trustees from 14 to 15. Section 5B: imposed requirement that Trustees shall approve all grants. Section 6B: established an Audit Committee with responsibility to oversee management's conduct of the Foundation's financial reporting process and overseeing the financial audit. Article IV: Section 1: eliminated indefinite term of Executive Director of Foundation and also removed requirement that the Foundation's Executive Director role is occupied by the NRA's Executive Director of Advancement.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

All Trustees shall be elected by the current Trustees at The Foundation's Annual Meeting.

The foundation's 990 is reviewed by its external accountants and board of trustees before it is filed with the irs.

The organization takes conflict of interest very seriously and utilizes a statement of corporate ethics. To monitor and enforce corporate policies, annual filings must be provided to the nra office of the secretary and general counsel and reviewed regularly and consistently.

Schedule D, Part III, Line 4 Collections of art - description of collections

The nra foundation maintains a collection of firearms and firearm accessories housed within the national firearms museum, where they promote appreciation, understanding, and participation in gun collecting and the preservation of the heritage of firearms through collection, conservation, exhibition and research.

Grants are made from endowment funds in support of firearm-related public interest activities of a variety of constituencies throughout the united states, including youth, women, men, physically challenged individuals, gun collectors, law enforcement officers, hunters and competitive shooters.

The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and from state income taxes. In addition, the foundation is not classified as a private foundation. The foundation follows the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the foundation may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Tax years from 2021 through the current year remain open for examination by tax authorities, which is the standard statute of limitations look-back period. Currently, there are no examinations in process. Management evaluated the foundation's tax positions and concluded that the foundation had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance.
