“During the year, the organization made changes to the by-laws as follows: increased the number of board members from 25 to 30, updated the composition of the board to include non-apta members, updated the term of the immediate past chair from 4 to 2 years, and updated quorum language to relfect 30% of voting members.”

“Each board member annually signs a statement that affirms that they comply with the conflict of interest policy and disclose, actual or potential, conflicts of interest. Board members disclose to the board officers and include a copy to the general counsel. After disclosure of all material facts and any discussion, the interested person recuses him/herself and the aptf officers considers the information received and determines whether a conflict of interest exists. An interested person may make a presentation to the aptf officers regarding the information submitted. The aptf chair, in consultation with the aptf general counsel, investigates the conflict and reports back to the aptf officers.”
