Governance Explanations

Form 990, Part VI, Section B, line 11B

Britepaths' 2019 form 990 is prepared by an independent certified public accountant. The form is reviewed by Britepaths' Finance Director, Treasurer, and Executive Director. It is then presented to the Board of Directors for comments. The Treasurer then approves form 990 and it is submitted to the IRS.

Form 990, Part VI, Section B, line 12C

The Executive Director and President of the Board monitor compliance with the conflict of interest policy, which requires all interested persons to file a disclosure statement at least annually.

Form 990, Part VI, Section B, line 15

On an annual basis, an ad hoc committee comprised of Board members reviews the Executive Director's performance against predetermined goals. The committee also reviews comparable compensation information of other not-for-profit organizations of similar size. The committee recommends a salary for the Executive Director to the entire Board for approval. Britepaths currently does not have any key employees.

Form 990, Part VI, Section C, line 19

Britepaths' financial statements are made available to the public on its website. Britepaths' governing documents and conflict of interest policy are available to the public upon request.
