Governance Explanations

Part VI, Section B, Line 11A

The finance committee receives and reviews form 990 prior to filing. If questions arise, the finance committee works with business manager and auditor/tax return preparer to answer.

Part VI, Section B, Line 15A & 15B

A board committee evaluates and sets the salaries for the managing director and artistic director, these salaries are then reviewed by the finance committee, who will recommend to the board as a whole the salaries. Management evaluates staff and determines staff salaries, however the board president and finance committee approve salary line items within the budget.

Part VI, Section B, Line 12C

Each board member shall complete a conflict of interest and related party questionnaire annually, and upon change of circumstances, which shall be reviewed by the finance committee of the board of directors. In addition, immediately upon learning of an actual or potential conflict of interest between everyman and a board member, "interested board memberany related party with regard to a transaction or arrangement, the interested board member shall promptly disclose all material facts of the actual or potential conflict of interest. All disclosures involving a transaction or arrangement being considered at a meeting of the board of directors or a committee shall be made to all members present at such meeting. All other disclosures shall be made to the managing director and/or board president. If such interested board member is the board president, he or she shall promptly disclose all material facts of the actual or potential conflict of interest to the finance committee. A board member who is in doubt as to the existence of a conflict of interest is encouraged to disclose all facts pertaining to the transaction or arrangement before undertaking the transaction or arrangement or making any decision in the matter. If the board has reasonable cause to believe that a board member has failed to comply with this policy, the board may direct the board president to inform the board member of the basis for such belief and afford her or him an opportunity to explain to the board the alleged failure to disclose. After hearing the response of the board member and making such further investigation as may be warranted in the circumstances, if the board determines that the board member has in fact failed to comply with this policy, it shall take appropriate action, including removal of such board member from the board and any other office within everyman.

Financial Statement Notes

PART X, #2

The Theatre is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been made in the accompanying consolidated financial statements. There was no net unrelated business taxable income during the year. General accounting principles regarding accounting for uncertainty in income taxes require changes in recognition and measurement for uncertain tax positions. In accordance with the accounting guidance for accounting for uncertainty in income taxes, the Theatre has determined that it does not currently have any tax positions that it considers to be uncertain. If this position changes, the Theatre will assess the impact of any such matters on its financial position and results of operations. The federal and state income tax returns of the Company for the years ended June 30, 2015, 2014 and 2013 are subject to examination by the IRS and state taxing authorities generally for three years after they were filed.
