Governance Explanations

Form 990, Part VI, Section A, Line 1

Between meetings of the board of directors, decisions regarding the day-to-day affairs of the corporation may be made by an executive committee, the membership of which shall consist of the chair, chair-elect, and immediate past chair. The executive committee is authorized to act for the board, except that it may not amend or repeal these bylaws; elect or remove any officer or director; adopt a plan of merger; or authorize the voluntary dissolution of the corporation. The executive committee shall report its key decisions to the full board of directors as soon as possible.

Form 990, Part VI, Section A, Line 3

The events industry council (eic) has entered into a management contract with smithbucklin corporation. Under the terms of this contract, eic makes payments to smithbucklin which cover staff salaries and other overhead expenses. The fees incurred by eic during the year ended december 31, 2018 were $1,210,014 which were broken down as follows: executive management $300,000, membership and operations $249,992, event services $123,260, education and learning services $201,074, financial management and accounting services $50,000, information technology services $35,506, marketing and communication $220,190, project printing and support $19,382, promotional products and support $610 and the townsend group $10,000. Smithbucklin's performance under this agreement is monitored by the board of eic.

The 990 is initially reviewed by the finance department. It is then sent to the president/ceo for review before it is signed and filed with the irs. A copy of the 990 is provided to the full governing body before it is filed.

Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms that such person has received a copy of the conflicts of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands that the corporation is a charitable organization and that in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax exempt purposes. The board conducts periodic reviews of these statements to monitor and enforce compliance.
